Terms and Conditions
Interpretation
In these conditions:
“R.J. Ltd” means RJ Electrical Services Ltd
“Client” means the person named on the quotation or invoice for who R.J. Ltd has agreed to provide the service in accordance with these conditions.
“Contract” means the contract for the provision of the specified service.
“Materials” means any materials provided by R.J. Ltd in the course of carrying out the specified service.
“Quotation” means the tender, estimate or quotation to which these conditions are appended.
“Invoice” means the invoice raised for payment for the service carried out by R.J. Ltd as specified and agreed to by the Client.
“Specified Service” means the service provided by R.J. Ltd for the Client and referred to in the quotation or invoice.
“R.J. Ltd is the company supplying the service as registered in England and Wales under Company Registration No: 4692238
The headings in these conditions are for convenience only and shall not affect their interpretation.
“Period of Specified Service”
Any tender, estimate or quotation for specified service to a Client will only remain open for a period of 60 days from the date of such specification after which time it shall lapse.
“Supply of the Specified Service”
R.J. Ltd shall provide the specified service to the Client subject to the acceptance of these terms and conditions. Any changes or additions to the specified service or these conditions must be agreed in writing by an authorised official of R.J. Ltd and the Client.
The specified service shall be provided in accordance with the specification and subject to these conditions. The Client shall ensure the accuracy of all input material.
R.J. Ltd may at any time without notifying the Client, make any changes to the specified service which are necessary to comply with any applicable safety or statutory requirements, or which do not materially affect the nature or quality of the specified service.
RJ Ltd reserve the right, by giving notice to the Client, to increase its charges for carrying out the work stated in the specification to reflect any increase in cost to RJ Ltd which is due to any factor beyond the control of RJ Ltd (such as , without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increases in cost of labour or materials or other costs of manufacture), any change in delivery dates, quantities or specifications for the specified service which is requested by the Client or any delay caused by any instructions issued by the Client or failure of the Client to give RJ Ltd adequate information or instructions.
All charges quoted to the Client for the provision of the specified service are exclusive of any Value Added Tax, for which the Client shall be liable at invoice stage at the rate dictated by HM Customs and Excise.
Any sums invoiced by RJ Ltd to the Client shall be paid by the Client (together with any applicable Value Added Tax and without any set off or other deduction) within 14 (fourteen) days of the date of the invoice issued by RJ Ltd or within such other period as agreed in writing with RJ Ltd and the Client.
If payment is not made on the due date RJ Ltd will be entitled to without limiting any others rights it may have, charge interest on the outstanding amount (both before and after any judgement) at the rate of 5% above the interest base rate from HSBC Bank Plc from the due date until the outstanding balance is paid in full
Exclusions
Unless specifically stated on the specification, the specified services shall not include the following:-
The cost of making good decoration, walls and floors or other parts of the Clients premises
The supply and erection of scaffolding, access equipment, mobile towers, hoisting or lowering equipment or
The cost of any fuel, water or electricity required to carry out the specified service, or
The fees for district surveyors, insurance inspection or any other inspecting authority
Retention of Title
The liability for the risk of damage or loss of materials supplied for the specified service shall pass to the Client at the time materials are delivered to the Client premises
The title of the materials shall not pass to the Client until RJ Ltd has received cash or cleared payment in full of all invoices rendered by RJ Ltd to the Client for the specified service in which the materials were used
Until such time as the title of the materials passes to the Client RJ Ltd shall be entitled at any time to enter upon any premises of the Client where the materials are stored or have been used and repossess the materials
Liability
RJ Ltd shall have no liability to the Client for any loss, damage, costs expenses or other claims for compensation airing from any input materials or instructions supplied by the Client which is incomplete, incorrect, inaccurate, and illegible out of sequence or arising from their late or non arrival or any other fault of the Client
The Client shall remove and replace at the Client’s own expense all moveable items in the areas of the required specified services to which RJ Ltd require access and RJ Ltd require access and RJ Ltd will not be liable for any loss or damage caused to such items
Cancellation
The Clients shall be entitled to cancel or amend the specified services by notifying RJ Ltd in writing but shall be liable for any costs incurred to the date by RJ Ltd
General
These conditions and any other terms set out in the specification constitute the agreement between the parties and may not be varied unless in writing between the parties. All other terms and conditions are as express or implied by statute or otherwise
English Law shall apply to the contract and parties agree to submit to the non-exclusive jurisdiction of the English Courts
All extractor ventilation fans are supplied and wired including isolator switches but excluding vents, holes, roof vents or any building works which are carried out by others
All TV points are supplied and wired to central point, final connection i.e. TV Amp and aerial are to be carried out by others
All BT points are supplied and wired back to incoming point, excluding final connections which is to be carried out by others i.e. BT Communications Company
All sockets, switches etc are to be white plastic type unless stated otherwise
All recessed down lighters either low voltage or mains will only be fitted only into resistance materials i.e. plasterboard, no allowance to remove section of ceiling or making good.
No allowance for any utility services i.e. SSE or BT ect
